Zero Eight Zero provides a range of products and services, including but not limited to consulting, project management, software development, and marketing. The scope and details of the Services we provide will be agreed upon between the client and Zero Eight Zero in writing.

Our fees for products and services are determined on a project-by-project basis, and are dependent on the scope, complexity, and duration of the project. All fees are payable by the client in full upon receipt of an invoice from Zero Eight Zero. Late payments may result in additional fees or termination of Services.

WAll products and services provided by Zero Eight Zero are the property of the firm until full payment is received. The client may use the products and services solely for the purpose of the project. All intellectual property, including but not limited to copyrights, trademarks, and patents, developed by Zero Eight Zero during the course of the project are the sole property of Zero Eight Zero.

Zero Eight Zero understands the importance of client confidentiality. All confidential information and data provided by the client will be kept strictly confidential by Zero Eight Zero, and will not be disclosed to any third parties without the express written consent of the client.

Zero Eight Zero represents and warrants that the Services will be provided with reasonable skill and care. The client represents and warrants that it has the right to use and disclose all data and information provided to Zero Eight Zero in connection with the Services, and that such data and information will not infringe any third party rights.

Zero Eight Zero is not responsible for any loss or damage caused by events beyond our control, including but not limited to natural disasters, accidents, or cyber attacks. Our liability for any claim arising out of or related to the products or services provided by Zero Eight Zero shall not exceed the total fees paid by the client to Zero Eight Zero.

The client agrees to indemnify, defend, and hold harmless Zero Eight Zero, its officers, directors, employees, and agents, from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to the client’s breach of these Terms or the client’s use of the Services.

Either party may terminate the agreement at any time for any reason upon written notice to the other party. In the event of termination, the client is responsible for all fees and costs incurred up to the termination date.

These Terms shall be governed by and construed in accordance with the laws of the state where Zero Eight Zero is located.

Any dispute arising out of or related to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state where Zero Eight Zero is located, and the parties shall bear their own costs and expenses.

Zero Eight Zero reserves the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting on our website. Your continued use of the Services after any such modifications constitutes your acceptance of the revised Terms.

These Terms, together with any written agreement between Zero Eight Zero and the client, constitute the entire agreement between the parties with respect to the Services, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

The client may not assign or transfer its rights or obligations under these Terms without the prior written consent of Zero Eight Zero.

The failure of either party to enforce any provision of these Terms shall not be construed as a waiver of such provision or the right to enforce it in the future.
